Terms
of Service

Pilot OS by Rentwith Pilot LLC, a subsidiary of Astrae Holdings LLC · Effective Date: March 29, 2026

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Rentwith Pilot LLC, a subsidiary of Astrae Holdings LLC ("Pilot," "we," "us," or "our") governing your access to and use of the Pilot OS platform, including the website at rentwithpilot.com and all related services, applications, and tools (collectively, the "Service").

BY CREATING AN ACCOUNT OR ACCESSING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

01. Eligibility and Account Registration

To use the Service, you must:

  • Be at least 18 years of age
  • Be a legal resident or entity authorized to conduct business in the United States
  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials and promptly notify us of any unauthorized access

You may not register on behalf of another person without authorization. Accounts are non-transferable. We reserve the right to reject or terminate accounts at our discretion.

02. Description of the Service

Pilot OS is a cloud-based property management platform designed for independent landlords and real estate investors. The Service provides tools for:

  • Tenant and lease management
  • Online rent collection and payment processing
  • Maintenance request tracking
  • Document storage and e-signatures
  • Financial reporting and transaction history
  • AI-powered features including lease analysis and maintenance triage (available on select subscription tiers)
  • Messaging and communication between landlords and tenants

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time with reasonable notice.

03. Subscription Plans and Payment

3.1 Subscription

The Service is offered under a single subscription plan ("Pilot") at $249.99 per month (or $2,399.88 per year when billed annually). Features, usage limits, and pricing are described on our pricing page and may be updated from time to time. We will provide at least 30 days advance notice of material pricing changes.

3.2 Billing and Payment

Subscription fees are billed in advance on a monthly or annual basis. By providing a payment method, you authorize us to charge the applicable fees. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

3.3 Free Trials

If we offer a free trial, you must provide valid payment information at enrollment. Unless you cancel before the trial ends, your payment method will be charged the applicable subscription fee at the conclusion of the trial period.

3.4 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities, excluding taxes on our net income. We may collect and remit taxes on your behalf where required by law.

3.5 Late Payment and Suspension

If your payment fails, we will notify you and attempt to retry the charge. If payment is not received within 7 days, we may suspend your account until the outstanding balance is settled. Accounts suspended for non-payment for more than 30 days may be terminated and data may be deleted.

04. Payment Processing and Stripe Connect

Rent collection and landlord payouts through the Service are processed by Stripe, Inc. By using rent collection features, you agree to:

  • Stripe's Connected Account Agreement and Stripe's Terms of Service
  • Complete Stripe's identity verification requirements for payout-enabled accounts
  • Comply with applicable IRS reporting requirements; we are required to issue or facilitate issuance of 1099-K forms for accounts processing $600 or more in a calendar year, per current IRS thresholds

We are not a bank or financial institution. We do not hold funds on your behalf. All payment and payout disputes are governed by Stripe's policies.

05. User Responsibilities and Acceptable Use

5.1 Your Content

You are solely responsible for all data, information, and content you upload, submit, or generate through the Service ("User Content"), including lease agreements, tenant information, and financial records. You represent and warrant that:

  • You have all rights necessary to upload and use such content
  • Your User Content does not violate any applicable law or third-party rights
  • Any personal information about tenants or third parties that you input has been collected lawfully and with appropriate consent or authorization

5.2 Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose, including discriminatory housing practices in violation of the Fair Housing Act or applicable state law
  • Harass, threaten, or intimidate tenants through platform messaging tools
  • Input false, fraudulent, or misleading information
  • Attempt to gain unauthorized access to any portion of the Service or any other system
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated scripts, bots, or scraping tools to access the Service without authorization
  • Resell, sublicense, or otherwise commercially exploit the Service without our written consent
  • Introduce malicious code, viruses, or any other harmful components

5.3 Compliance with Landlord-Tenant Laws

You are solely responsible for complying with all applicable federal, state, and local landlord-tenant laws, rent control ordinances, habitability requirements, notice obligations, and fair housing regulations. The Service provides tools to assist with property management but does not constitute legal advice. We strongly recommend consulting qualified legal counsel for compliance questions.

06. Intellectual Property

6.1 Our IP

The Service, including its design, software, algorithms, branding, trademarks, and all platform-generated content, is owned by Rentwith Pilot LLC and its parent company Astrae Holdings LLC, and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purposes during your subscription term.

6.2 Your Content License

You retain ownership of your User Content. By uploading User Content, you grant us a limited, worldwide, royalty-free license to store, process, and display your content solely as necessary to provide and operate the Service. We do not use your User Content to train AI models without your explicit consent.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an irrevocable, perpetual, royalty-free right to use such feedback for any purpose without compensation to you.

07. AI-Powered Features

Certain subscription tiers include access to AI-powered features such as AI Lease Analyzer and AI Maintenance Triage ("AI Features"). With respect to AI Features:

  • AI Features are provided as informational tools only and do not constitute legal, financial, or professional advice
  • Outputs generated by AI Features may contain errors or inaccuracies; you are responsible for independently verifying any AI-generated analysis before relying on it
  • We do not guarantee the accuracy, completeness, or fitness for purpose of AI-generated outputs
  • AI Features may be modified, limited, or discontinued as the technology evolves

08. Confidentiality and Data

Each party agrees to maintain the confidentiality of the other party's non-public information. We will handle your data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy is available at rentwithpilot.com/privacy. The following additional policies are also incorporated into these Terms by reference:

  • Disclaimer — limitations on the platform's informational nature
  • Acceptable Use Policy — rules governing platform usage
  • DMCA & IP Policy — intellectual property and copyright procedures

09. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING AI-GENERATED OUTPUTS, FINANCIAL CALCULATIONS, OR LEGAL DOCUMENT TEMPLATES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RENTWITH PILOT LLC, ASTRAE HOLDINGS LLC, THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOST DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES; IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Rentwith Pilot LLC, Astrae Holdings LLC, and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law; or (e) any dispute between you and a tenant, property owner, or other third party.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before initiating formal dispute proceedings, you agree to first contact us at legal@rentwithpilot.com and attempt to resolve the dispute informally. Most concerns can be resolved quickly through direct communication.

12.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except as provided in Section 12.4.

12.3 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF A COURT FINDS THIS WAIVER UNENFORCEABLE, THE ARBITRATION AGREEMENT SHALL BE NULL AND VOID.

12.4 Exceptions

Either party may bring an individual action in small claims court. Either party may seek injunctive or other equitable relief in court to prevent unauthorized use of intellectual property or protect confidential information.

12.5 Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict of laws provisions. Any court proceedings not subject to arbitration shall be brought in the state or federal courts located in San Bernardino County, California.

13. Term and Termination

13.1 Term

These Terms remain in effect for the duration of your subscription and use of the Service.

13.2 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for the remaining period except where required by law.

13.3 Termination by Us

We may suspend or terminate your account immediately if: (a) you materially breach these Terms and fail to cure within 7 days of notice; (b) we determine in our sole discretion that your use poses a legal, security, or reputational risk; (c) required by law; or (d) upon discontinuation of the Service with reasonable advance notice.

13.4 Effect of Termination

Upon termination, your license to use the Service ceases immediately. We will provide you a 30-day window to export your data. After this window, we may delete your data in accordance with our Privacy Policy, subject to legal retention requirements.

14. Modifications to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notice at least 14 days before the new terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements you execute with us, constitute the entire agreement between you and Rentwith Pilot LLC regarding the Service and supersede all prior agreements.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of our right to enforce it in the future.

15.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may freely assign our rights and obligations, including in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure

We will not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, acts of government, labor disputes, or failures of third-party services.

15.6 No Legal Advice

Nothing in the Service, including document templates, AI-generated outputs, or any written communications from us, constitutes legal advice. You should consult a qualified attorney for any legal questions related to your property management activities.
